The establishment of a business company is a legal act that results in the creation of a new legal entity. Legal theory distinguishes between so-called personal business companies, which include public business companies and limited partnerships, and so-called capital companies, which include limited liability companies and joint-stock companies.

The primary differences between these groups of business companies lie in the manner of shareholder liability for the company’s obligations, whether the establishment of the company requires registered capital, the structure of the company’s bodies, and the regulation of shareholders’ ability to act on behalf of the company. A business company can be founded by either a legal entity or a natural person.
